This Terms of Use Agreement ("Agreement") states the "Terms and Conditions" under which you may use InnoEngineer. Please read this agreement carefully. If you do not accept the Terms and Conditions stated here, do not use this web site and services. By using this web site, you are indicating your acceptance to be bound by the terms of these Terms and Conditions. Innoengineer may revise these Terms and Conditions at any time by updating this posting. You should visit this page periodically to review the Terms and Conditions, because they are binding on you. This Terms of Use Agreement ("Agreement") will operate as a legally binding contract between Innoengineer, its owners, operators, employees, agents and licensors,(hereinafter "Innoengineer") and any individual or entity using the services of this website.(Hereinafter "User"). You, the User, agree to hold yourself, your employees, and agents, to the terms of this Agreement. By accepting this agreement, you warrant that you have the authority to form legally binding contracts for yourself and any and all individuals or entities that will be using the services of this website through you.

Section 1: Acceptable Conduct
By registering to use our services, the User will have the ability to post content on Innoengineer's website. By accepting this Agreement, the User agrees refrain from inappropriate behavior. Inappropriate behavior includes but is not limited to:
1.Defamation, abuse, harassment, or threatening the legal rights of others such as, but not limited to, the right to privacy and the right of publicity, including posting the personal information of another User, without his or her consent.
2.Infringing or violating any copyright, trademark, trade dress, trade secret, patent or other intellectual property right of another party.
3.Interfering with any contract or prospective economic relations, advertisement or offer to sell goods for a commercial purpose.
4.Posting obscene, pornographic, hateful, or otherwise objectionable text, links, pictures, sound clips or any other media not listed here.
5.Using this website to disseminate fraudulent goods or promotions such as, but not limited to, chain letters, pyramid schemes, or ponzi schemes.
6.Using this website to violate or advocate violation of any international, federal, state, or local laws.

Any User who submits fraudulent or misrepresentative information will have their account severed immediately and their content removed from Innoengineer's website.

Section 2: Intellectual Property
All original content on this website is the property of Innoengineer, unless otherwise specified. Reproduction or any other method of use of any Innoengineer copyright, trademark, trade dress, trade secret, patent or other intellectual property is prohibited without prior written agreement from Innoengineer.
By accepting this Agreement, the User gives Innoengineer a license to display, reproduce, or otherwise publish all content or information submitted by the User to Innoengineer for the purposes of conducting business. Innoengineer warrants that its use of any content or information submitted by the User will be in accordance with the terms of the privacy policy which is hereby incorporated as part of this Agreement.
If Users wish to have their licensed content removed from the Innoengineer website, they must submit a written or electronic request to Innoengineer. Innoengineer will have thirty days to comply with this request from receipt of the notice.
If content is displayed on Innoengineer's website that is in violation of copyright law, please notify Innoengineer at info@innoengineer.com to resolve the situation.

Section 3: Third Party Contracts
By accepting this Agreement, you warrant that you are not violating any preexisting and future contractual obligations you have to any third parties. In the event of a breach of contract with a third party through use of this website in any means, you agree to indemnify, defend, and hold Innoengineer, its owners, operators, and employees harmless, from any and all liability for such actions should legal action be brought against this website.

Section 4: Assignment
Neither this Agreement nor any or all of the rights and obligations of Innoengineer or the User shall be assigned, whether by agreement or by operation of law to any party other than to the User's successor pursuant to a merger, reorganization, consolidation or sale, or an entity that acquires all or substantially all of that portion of the User's assets or business for which the services were acquired or are being used, without the prior written consent of Innoengineer, and any attempt to do so shall be void. No such permitted assignment shall relieve the User of its obligations under this Agreement. This Agreement shall be binding upon the User's successors, permitted assigns and legal representatives.

Section 5: Duration
This Agreement will continue to be binding indefinitely unless severed by Innoengineer or the User. The User may be released from this Agreement by providing electronic or written notice to Innoengineer that they wish to be released. The contract will cease to be binding 30 days from the date Innoengineer receives the notice.
Innoengineer may terminate this Agreement at any time and for any reason without advance notice.

Section 6: Endorsement
Use of this website in no way states or implies sponsorship or endorsement of User's products or services by Innoengineer.

Section 7: Governing Law
This Agreement shall be interpreted, construed and enforced in all respects in accordance with the laws of the Commonwealth of Virginia, without reference to the conflict of laws provisions thereof.

Section 8: Liability and Indemnification
INNOENGINEER DOES NOT REPRESENT, WARRANT, OR GUARANTEE THAT ANY CONTENT SUBMITTED BY USERS IS TRUTHFUL OR ACCURATE. INNOENGINEER DOES NOT REPRESENT, WARRANT, OR GUARANTEE THE QUALITY OF WORK PROVIDED BY OTHER USERS.

INNOENGINEER DOES NOT WARRANT THAT ITS SERVICES WILL MEET THE USER'S REQUIREMENTS OR THAT ITS SERVICES WILL BE UNINTERRUPTED OR ERROR FREE. INNOENGINEER DOES NOT INVESTIGATE THE BACKGROUNDS OF COMPANIES OR ENGINEERS USING ITS SERVICES. INNOENGINEER'S SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRATNIES OF MERCHANTIBILTY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION, OR MODIFICIATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.

THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. USER SPECIFICALLY ACKNOWLEDGES THAT INNOENGINEER IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH USER.

IN NO EVENT WILL INNOENGINEER, IN CREATING, PRODUCING, OR PERFORMING ITS SERVICES , BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE INNOENGINEER'S WEBSITE. USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON INNOENGINEER'S WEBSITE.

IN ADDITION TO THE TERMS SET FORTH ABOVE, INNOENGINEER SHALL NOT BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED WITHIN INNOENGINEER'S WEBSITE, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR FOR ANY CLAIMS OR LOSSES ARISING THEREFROM OR OCCASIONED THEREBY. INNOENGINEER SHALL NOT BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.
